Overview
A key member of Gunster’s Corporate and Banking & Financial Services practice groups, Josh Jacobson focuses his practice on banking and commercial loan transactions. With over 25 years of experience, including a decade practicing in New York, Josh advises companies, individuals, banks, and other institutional lenders, arrangers and agents on the full spectrum of secured and unsecured lending and financing transactions.
He guides clients through every phase of credit transactions, including structuring, negotiating, documenting and closing loans, and advising on post-closing compliance matters. He represents companies and financial institutions in wide-ranging lending matters, including syndicated and single-lender transactions, acquisition financings, asset-based lending transactions, junior debt financings, note issuances, letters of credit, and other complex credit matters. Josh is experienced with secured transactions and matters arising under Article 9 of the Uniform Commercial Code.
Drawing on experience representing both lenders and borrowers throughout his career, Josh brings a practical understanding of how each side evaluates risks and structures deals. This dual perspective enables him to anticipate issues, bridge gaps in negotiations and help parties reach workable solutions that support their long-term lending relationships.
In addition to his finance practice, Josh advises companies on general corporate governance and other corporate matters and frequently collaborates with colleagues on mergers and acquisitions, including acquisition financing and other aspects of strategic transactions. Josh is also a member of Gunster’s Opinion Committee and regularly prepares and negotiates closing opinion letters in connection with financing transactions and other corporate matters.
Experience
- Served on the team representing Flagger Force, a Blue Sea Capital portfolio company, in connection with its acquisition of Louisville, Kentucky-based NTC Traffic Control. The acquisition enables Flagger Forces to expand its traffic control capabilities, resources, knowledge and safety services to better meet the needs of businesses operating in the construction, utility and other infrastructure-centered sectors.
