Overview
Todd D. Kaplan practices in corporate and business law, mergers and acquisitions, and estate planning and wealth preservation. He leverages his Master of Laws in Taxation (LL.M.) degree and tax-law training to help clients navigate complex legal issues.
Todd represents businesses in all phases of the business life cycle, including entity selection, formation, corporate governance, mergers, acquisitions, reorganizations, and succession planning. He drafts and negotiates commercial contracts, including stock and LLC purchase agreements, asset purchase agreements, operating agreements, shareholder agreements, consulting agreements and governance documents.
Todd represents entrepreneurs, emerging growth companies, and other clients in mergers and acquisitions and related business transactions. He regularly advises clients on all stages of the M&A process, including due diligence, contract negotiation, transaction structuring, and post-closing matters.
Todd's estate planning practice includes advising individuals and families on matters ranging from basic estate planning to strategies for lifetime asset transfers, including grantor retained annuity trusts (GRATs), family limited partnerships, intentionally defective grantor trusts, income tax-advantaged grantor trusts, and qualified personal residence trusts (QPRTs). He also assists executors and trustees with estate and trust administration.
In addition to his transactional and estate planning practices, Todd advises clients on business and tax-related matters. He is licensed to practice law in Florida, New York, and Connecticut and is primarily based in the firm's Lakewood Ranch office. He also regularly meets with clients at the firm's Main Street office in downtown Sarasota. Todd works closely with clients on business, tax, estate planning, and transactional matters, providing practical legal counsel based on their individual needs and objectives.
